1. Introduction

Linkduka operates a social commerce platform that helps sellers create product listings, manage shop pages, share products through social media channels, and receive direct customer orders. These Terms apply to sellers, buyers, and any person using our website, tools, applications, and related services. If you do not agree to these Terms, you must not use the platform.

2. Account Registration

You must be at least 18 years old to use Linkduka. By creating or using an account, you confirm that the information you provide is accurate and complete.

• You must keep your login credentials secure.
• You are responsible for all activity under your account.
• You must notify us promptly if you suspect unauthorized access.
• You must keep your business, contact, and payment details current.

3. Service Provision

Linkduka provides software tools and storefront functionality for sellers to list, market, and manage products. The actual contract of sale is between the buyer and the seller. Linkduka is not the importer, manufacturer, distributor, or merchant of the goods listed by sellers.

Sellers are solely responsible for their products, taxes, pricing, descriptions, inventory, customer support, returns, and compliance with applicable law.

4. Intellectual Property

You retain ownership of the product images, descriptions, and business content you upload. By uploading content, you grant Linkduka a non-exclusive, royalty-free license to host, display, distribute, and use that content for operating and promoting the platform.

The Linkduka name, logo, platform code, design, and related branding remain our property or the property of our licensors. You may not copy, modify, reverse engineer, or misuse them.

5. Payments

LinkDuka supports direct M-PESA and related payment coordination between buyers and sellers. Linkduka does not hold customer funds as a bank or payment custodian unless explicitly stated in a separate agreement.

• Sellers are responsible for verifying payment before dispatching goods or services.
• Linkduka does not have access to M-PESA PINs or confidential customer banking credentials.
• Any payment dispute between buyer and seller must first be handled between those parties, subject to applicable law.

6. Delivery and Fulfilment

Sellers are responsible for dispatch, delivery coordination, order accuracy, and final fulfilment. Linkduka may provide order and delivery tools but is not the courier or delivery agent.

7. Social Media and Platform Integrations

Linkduka may offer integrations with social platforms such as Facebook, X, TikTok, Instagram, or similar services. By connecting a third-party account, you authorize Linkduka to use the permissions you grant for posting, syncing, or account-management features.

You remain solely responsible for complying with the terms, policies, and community standards of each third-party platform.

8. Billing, Refunds, and Cancellation

• You authorize Linkduka to charge your selected payment method for subscriptions and platform fees where applicable.
• Subscription or service fees may recur automatically unless cancelled.
• We may revise pricing with at least 7 days' notice.
• Failure to pay may result in suspension or termination of access.

Refunds are processed instantly where no purchase has been completed and there has been no click activity on the seller's shop page or product pages after payment. Once measurable usage has started through customer purchase activity or click-through engagement, refund eligibility may be limited or declined unless required by law.

Cancellations usually take effect at the end of the active billing period unless a separate written agreement applies.

9. Prohibited Conduct

• You may not sell illegal, counterfeit, stolen, or prohibited goods.
• You may not infringe the intellectual property rights of any third party.
• You may not upload harmful, defamatory, hateful, or misleading content.
• You may not disrupt, probe, scrape, or interfere with the platform's security or availability.

10. Third-Party Services

Linkduka may integrate with third-party services such as payment providers, messaging platforms, social networks, hosting providers, analytics tools, and logistics partners. Your use of those services may also be subject to their separate terms and policies.

11. Disclaimer and Limitation of Liability

To the maximum extent permitted by law, the platform is provided on an "as is" and "as available" basis. Linkduka shall not be liable for indirect, incidental, special, consequential, or punitive damages, including disputes between buyers and sellers, lost profits, lost sales, data loss, or business interruption.

12. Indemnity

You agree to indemnify and hold harmless Linkduka, its directors, staff, and agents from claims, damages, and expenses arising from your use of the platform, your breach of these Terms, or disputes involving your products, customers, or third-party platform integrations.

13. Suspension and Termination

We may suspend, restrict, or terminate access to the service if you breach these Terms, create legal or operational risk, fail to pay applicable fees, or use the platform in a harmful or fraudulent way.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Kenya. Any dispute arising from these Terms should first be addressed through good-faith negotiation. If unresolved, the dispute may be referred to arbitration or other lawful dispute-resolution procedures in Nairobi, Kenya.

15. Changes to These Terms

We may update these Terms from time to time. Material changes may be posted on the platform or sent using the contact details attached to your account. Continued use after an update means you accept the revised Terms.
